Vendor Agreement (Jordan)

1. Introduction

This Vendor Agreement (“Agreement”) governs the relationship between eJO (“the Platform”, “we”, “us”, “our”) and any individual or business (“Vendor”, “you”, “your”) that registers to sell products through the Platform. By creating a Vendor account, you agree to comply with this Agreement, all Platform policies, and applicable laws in the Hashemite Kingdom of Jordan.

2. Vendor Eligibility

To become a Vendor on eJO, you must:

  1. Be at least 18 years old.
  2. Have the legal capacity to enter into binding agreements.
  3. Provide accurate business and contact information.
  4. Comply with all licensing, tax, and regulatory requirements in Jordan.

We reserve the right to approve or reject Vendor applications at our discretion.

3. Vendor Responsibilities

Vendors agree to operate their store professionally and lawfully. This includes:

  1. Providing accurate product descriptions, pricing, and stock availability.
  2. Ensuring all products comply with Jordanian laws, safety standards, and import regulations.
  3. Fulfilling orders promptly and packaging items securely.
  4. Managing returns, refunds, and customer inquiries in accordance with Platform policies and Jordanian consumer protection laws.
  5. Maintaining up‑to‑date business information.
  6. Ensuring all content uploaded (images, text, videos) is lawful and does not infringe third‑party rights.

4. Prohibited Products

Vendors may not sell items that are illegal, restricted, or unsafe under Jordanian law, including:

  1. Counterfeit or pirated goods.
  2. Unlicensed pharmaceuticals or medical devices.
  3. Weapons, explosives, or hazardous materials.
  4. Products violating intellectual property rights.
  5. Any items prohibited by customs or regulatory authorities.

We may remove prohibited listings without notice.

5. Pricing and Payments

  1. Vendors set their own product prices.
  2. eJO may charge subscription fees, commissions, or transaction fees depending on the Vendor’s plan.
  3. Vendors are responsible for any payment gateway fees.
  4. Payments to Vendors are processed according to the Platform’s payout schedule.
  5. Vendors must comply with General Sales Tax (GST) and other tax obligations in Jordan.

6. Order Fulfillment

Vendors must:

  1. Ship orders within the timeframe stated on their store.
  2. Provide accurate tracking information when available.
  3. Notify Customers of delays or stock issues.
  4. Ensure products arrive in good condition.

Failure to fulfill orders may result in penalties or account suspension.

7. Returns, Refunds, and Cancellations

Vendors must:

  1. Honor their published return and refund policies.
  2. Comply with Jordanian consumer protection laws regarding defective or misrepresented products.
  3. Accept returns for damaged, incorrect, or non‑conforming items.
  4. Process refunds promptly once a return is approved.

If a Vendor fails to resolve a dispute, eJO may intervene and make a final determination.

8. Customer Data and Privacy

Vendors may only use customer information for:

  1. Fulfilling orders
  2. Providing customer support
  3. Handling returns or disputes

Vendors may not:

  1. Share customer data with third parties
  2. Use customer data for marketing without consent
  3. Store data insecurely or violate privacy laws

All data handling must comply with Jordan’s cybercrime and electronic transactions regulations.

9. Intellectual Property

  1. Vendors retain ownership of their product content but grant eJO a license to display it on the Platform.
  2. Vendors must ensure all product images, descriptions, and branding do not infringe third‑party rights.
  3. eJO retains ownership of all Platform software, branding, and design elements.

10. Vendor Conduct

Vendors must not:

  1. Engage in fraudulent or deceptive practices.
  2. Manipulate reviews or ratings.
  3. Misuse the Platform’s systems or attempt to bypass fees.
  4. Harm the reputation of eJO or other Vendors.

Violations may result in warnings, penalties, or account termination.

11. Account Suspension or Termination

We may suspend or terminate a Vendor account if:

  1. This Agreement or Platform policies are violated.
  2. Fraudulent or illegal activity is detected.
  3. Required fees are not paid.
  4. Customer complaints indicate repeated poor performance.

Vendors may request account closure at any time.

12. Limitation of Liability

To the fullest extent permitted by Jordanian law:

  1. eJO is not liable for Vendor losses, including lost profits or business interruptions.
  2. Vendors are solely responsible for their products, transactions, and customer interactions.
  3. The Platform is provided “as is” without guarantees of uninterrupted service.

13. Amendments

We may update this Agreement periodically. Continued use of the Platform after updates constitutes acceptance of the revised terms.

14. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Hashemite Kingdom of Jordan.

Any disputes shall be resolved through:

  1. Good‑faith negotiation
  2. Mediation by eJO (if applicable)
  3. The competent courts of Amman, Jordan
